No Sale, No Fee, Terms and Conditions 

Sole Agency 

 

These terms and conditions cover Yopa customers in England, Wales, Scotland, and Northern Ireland and are the Service Agreement between you and Yopa. 

These terms and conditions, together with the Yopa privacy policy and the Yopa cookie policy, and any other terms provided to you by Yopa Property Limited ('Yopa’, 'we’ or 'us’), set out the terms of the Service Agreement between you and us under which we will provide the Services to you and make available the use of its website, www.yopa.co.uk ('Our Site’), and YopaHub. 

When instructing us as agents to sell your property it is a requirement under the Estate Agents Act 1979 that you understand and accept these terms and conditions. 

Please read these terms and conditions carefully which contain essential information which you should be aware of before you accept any of our Products and Services. By clicking on the acceptance button, you will be agreeing to these terms and conditions and your order will be placed with us. Please be aware that we may change some terms and conditions in this Agreement in accordance with our rights set out below under the heading “Changes we can make to this Service Agreement.” Where we do so, we will give you reasonable notice of the change(s) taking effect, unless we consider the change(s) to be to your advantage in which case they may take effect immediately. 

 

If you are selling a property in Scotland, please also consider Appendix 1 to these terms. 

In these terms and conditions, the following words and phrases shall, unless the context otherwise requires, have the following meanings: 

'Acceptance Dateor ‘Agreement Date’ means the date on which you accepted these terms and conditions and instructed Yopa. 

'Associates’ means directors, employees, sub-contractors, and agents of Yopa. 

‘Anti-Money Laundering Fee’ means a mandatory legal requirement under Anti Money Laundering Regulations (AML), whereby Yopa are obliged to carry out certain checks against all Vendors to include proof of ownership and identification and address verification. We will engage with a third-party provider to conduct the check and our Compliance team will verify the information. The costs of the due diligence process is £84 inc VAT per property listed, which is paid in advance, prior to a property being listed. This charge is non-refundable under any circumstances.  

‘Cancellation Period’ means 14 calendar days from the date of the Agreement, which is the date you instructed Yopa and accepted these terms and conditions, and where you may be entitled to cancel this Agreement. If you choose to list your property with Yopa within the 14 days cancellation period, it will be deemed you have waivered your rights to cancel and that Yopa would have provided the Marketing services to you, and you will no longer be entitled to a full refund of the Yopa Fee. 

‘Completion’ means the date on which the legal transaction of the sale of the Property is complete and the Yopa fee is payable by you. 

‘Content’ means all the content, documents, information, and matters contained on our website, social media pages and your YopaHub, and any other portal owned by Yopa. 

 

‘Conveyancing Firm’ means a conveyancing firm who will conduct the conveyancing process when you sell your home.  

 

‘Conveyancing Panel’ means our conveyancing Partner Panel Optimus who Yopa will introduce to you should you wish to instruct a Conveyancer on Yopa’s Panel who will provide you with conveyancing services. 

 

Conveyancing Services” means the conveyancing services for the sale of your property which are to be conducted by a Conveyancing Firm. 

 

‘Enhanced Marketing Fee’ means the fee of £299 inc VAT for professional photography, floorplan,  a virtual tour. 

 

Estate Agent Service’ means the Products and Services described as such under the heading ‘Instructing Yopa.’ 

'Extra Products’ means any products offered and provided by Yopa and/or a Local Yopa Agent (or another designated third party) which are additional to the Yopa Bundle. 

'Extra Services’ means any services offered and provided by Yopa and/or a Local Yopa Agent (or another designated third party) which are additional to the Yopa Bundle. 

‘Existing Prospective Purchaser’ means a person who has expressed an interest in purchasing the Property to the Seller during the 3-month period immediately prior to the date of this Agreement. You must inform us in writing prior to accepting these terms and conditions the name and address of any individual who has expressed an interest in purchasing your property during the 3-month period immediately prior to the date of this Agreement. Failure to disclose such information will result in the Yopa Fee being payable in the event of a sale to that Existing Prospective Purchaser 

‘Fees and Payments’ means the Yopa fee that is payable upon the date the legal transaction of the sale of the Property is complete. 

‘Intellectual Property’ means anything belonging to Yopa or a third-party partner of Yopa’s such as Photographs. 

'Local Yopa Agent’ means the person(s) licensed by Yopa to conduct Market Appraisals, Accompanied Viewings (as more specifically set out in the section headed ‘Extra Services and Extra Products’) and other related services in respect of the Property. 

‘Listed Date’ means the date your property is listed for sale on Our Site and/or is listed on any Partner Sites by Yopa. 

'Market’ or ‘Marketing’ means the Property is listed for sale on Our Site and/or is listed on any Partner Sites by Yopa. 

'Market Appraisal’ means the market appraisal service provided by the Local Yopa Agent attending the Property and recommending a guide price for the sale of the Property. 

'Marketing Period’ means the period of the Sole Agency Agreement from the date that Yopa commences the marketing of the Property on Our Site or Partner Sites or until such time as that notice is served that the Agreement is to be cancelled or until such time as the Property Advert is removed or withdrawn by Yopa on Our Site or such Partner Sites. The Marketing Period may be extended in Yopa’s sole discretion.  

‘Marketing Price’ means the asking price for the Property to be agreed between the Seller and the Local Yopa Agent. 

‘Memorandum of Sale’ means the document that is signed by both the Purchaser and Seller confirming the terms of an offer for the purchase of the Property which has been accepted, where both parties agree to proceed with the formal aspect of the sale. 

‘Merchant Provider’ means the provider of the facility to safely and securely store personal information and any credit or debit card details taken from you. 

 

‘Multi Agency’ means after the Sole Agency Period has ended, you may ask us to continue to advertise the Property but on a ‘multiple agency’ basis (subject to our sole discretion), allowing you to appoint a third party to market the property alongside Yopa on a ‘multiple agency’ basis. 

 

‘Ownership’ means as a Seller, when you instruct us, you confirm that you do so with the knowledge, consent, and agreement of each and all the legal owners and occupiers and those who have an interest in the Marketing and/or sale of the Property. 

'Partner Sites’ means Rightmove, Zoopla and any other website that Yopa decides to partner with to promote the Property from time to time. 

‘Privacy Policy’ means the Privacy Policy as amended from time to time and published on the Website and YopaHub. 

'Property’ means the residential property in the United Kingdom (Excluding Northern Ireland) that you have asked a Local Yopa Agent to appraise or have instructed Yopa to advertise for sale. 

‘Property Advert’ means how your property is to be displayed in advertising and marketing which may include (subject to the nature of the Products and Services) photographs, descriptions, key features, and floor plans. 

'Purchaser’ means the person(s) purchasing the Property. 

'Qualified’ or ‘Qualification’ means taking reasonable steps to find out from a prospective Purchaser the source and availability of their funds for buying the Property with such information to include whether the prospective Purchaser needs to sell a property, requires a mortgage, claims to be a cash buyer or any combination of these. 

Relevant Regulator’ means National Trading Standards, the Advertising Standards Authority, the Competition and Markets Authority, the Property Ombudsman, HM Revenue and Customs and the Information Commissioner, as well as any other public body or authority whose decisions with which we must comply. 

'Rightmove’ means the website at www.rightmove.co.uk, owned and operated by Rightmove Plc, a company registered in England under company number 6426485 and having its registered office at Turnberry House, 30 Caldecotte Lake Drive, Caldecotte, Milton Keynes, MK7 8LE. 

'Seller’ means the owner(s) of the Property or the person(s) who is entitled to sell the Property. 

'Services’ means the estate agency services provided by Yopa and/or a Local Yopa Agent, which will include as a minimum: the creation of a Property Advert, Marketing of your Property on Our Site and selected Partner Sites (all as more specifically details below and, on Our Site,), assistance in the negotiation of any offers (as requested) and assistance in progression of the sale of the Property through to Completion. 

‘Sole Agency’ means instruct us to advertise your Property for sale on a ‘Sole Agency Basis’ for a minimum term of XX weeks, which shall continue until either you or we cancel and end the Agreement in accordance with the Cancellation terms. 

‘Standard Marketing Package’ means the standard No Sale No Fee package to include photograph taken by your Local Yopa Agent, an approximate floorplan drafted by Yor Local property Agent, together with an advert that is posted on the Yopa website and other property portals such as Rightmove and Zoopla. Your Local Yopa Agent will also conduct viewings of your Property on your behalf and will negotiate offers from any prospective Buyers. 

'VAT’ means value added tax chargeable under the Value Added Tax Act 1994. 

‘Withdrawal’ means withdrawing your property from the market which will cancel your instruction and end your Agreement with Yopa. 

'Yopa Bundle’ means the Services and any optional extras as identified on Our Site that may be included in the fixed fee that you have selected as part of the ordering process. 

'YopaHub means the interactive facility on Our Site where you can view details of the Property listings, diary appointments and availability and offer letters through a dedicated account. 

‘Yopa Extra Fee’ means the fee (inclusive of VAT) due to Yopa for providing the Extra Services and Extra Products to you (as advertised on Our Site). 

‘Yopa Fee’ means the fee (inclusive of VAT) payable to Yopa for the chosen Yopa Bundle; and 

‘Zoopla’ means the website at www.zoopla.co.uk owned and operated by ZPG Plc, a company registered in England under company number 09005884 and having its registered office at The Cooperage, 5 Copper Row, London SE1 2LH. 

Information about Yopa 

Yopa Property Limited (“Yopa”) is a company registered in the United Kingdom under company number 09120252 and with registered address at Meridian House, Wheatfield Way, Hinckley, Leicestershire, LE10 1YG. Yopa’s VAT number is 190 6450 07. 

Yopa provides estate agency services to individuals and businesses to facilitate property sales in the United Kingdom and operates and owns the website www.yopa.co.uk. 

Yopa is a member of The Property Ombudsman scheme and follows The Property Ombudsman’s Code of Practice for Residential Estate Agents, which is available to view at www.tpos.co.uk. Yopa is also registered with The Property Ombudsman’s Approved Estate Agents Redress Scheme. 

 

 

 

 

 

 

 

 

 

Terms of Service 

This section sets out the terms upon which we agree to offer and provide you with the Services. 

1. Instructing Yopa 

1.1 As a Seller, when you instruct us, you confirm that you are the legal owner of the property and/or have the legal right to instruct us to market and/or sell the property. When you instruct us, you do so with the knowledge, consent, and agreement of each and all the legal owners and occupiers and those who have an interest in the marketing and/or sale of the Property. 

1.2 When instructing Yopa to conduct the Services, you agree to be legally bound by these Terms and Conditions (and any other documents referred to in them) at the point of instruction at checkout on the Acceptance Date. 

1.3 Our acceptance of your instruction is subject to receiving satisfactory verification of the identity of the Sellers and details of the Property. 

1.4 If you are using a discount code when instructing with Yopa, it will be subject to our Discount Code Terms and Conditions, outlined here. 

2. Our Services 

2.1 We will provide the Services included in your Standard Marketing Package, together with any Enhanced Marketing Package, where applicable, to Market the Property for sale and help facilitate the eventual sale of the Property. 

2.2 We will conduct the Services with reasonable care and skill. We will use our reasonable endeavours to ensure that your Local Yopa Agent conducts the Services, with reasonable care and skill. 

2.3 We engage with a network of Local Yopa Agents across the United Kingdom (excluding Northern Ireland). The Local Yopa Agents assist in providing the Services in their assigned regions licensed under the Yopa brand. Under the terms of their licence, they are required to assist in providing the Services to the standards required by us, however, they are not our employees of Yopa. Customers are assigned to their Local Yopa Agent upon booking a Market Appraisal for their Property. Please note that your Local Yopa Agent may be substituted at any point during the term of our Agreement with you. 

2.4 Yopa enhances the provision of the Services to you by operating a call centre to support you with any queries relating to the Marketing and sale of the Property. 

YopaHub 

2.5 As part of the Services, you will be granted access to YopaHub where you can: view details of the Property listing; arrange appointments and viewings; view offers; and communicate with your Local Yopa Agent and/or prospective Purchasers. 

2.6 You must regularly check your YopaHub account for updates including messages and appointment or viewing requests in relation to the Property. 

2.7 It is your responsibility to update the information contained on your YopaHub that you have provided, for example if you have added an additional user to your YopaHub, this person will remain on the YopaHub and receive communication about the Sale Property, until you ask Yopa to remove them. This will be the case for any subsequent properties you may instruct Yopa on. You update your information by telephone at 0333 305 0202 or by email at hello@yopa.co.uk. 

Market Appraisal 

2.8 The Local Yopa Agent will provide a guide price for marketing the Property for sale. The guide price is based on the Local Yopa Agent’s experience, national and regional trends in the property market, and data obtained from various sources including but not limited to Partner Sites and the Land Registry. It will be your decision (as a Seller) to decide on the Marketing Price to include in the Property Advert. You will be able to amend the Marketing Price by notifying us, via YopaHub, at any time during the Marketing Period and we shall use our reasonable endeavours to update the Marketing Price on the YopaHub, Our Site and any Partner Sites within five days of receiving such notification. 

2.9 You agree and acknowledge that the guide price provided by the Local Yopa Agent during or following the Market Appraisal is not a valuation of the Property. 

Property Advert 

2.10 Your Local Yopa Agent will take photographs of your property, unless you have selected the Enhanced Marketing Package, where a professional photographer will be instructed. Your Local Yopa Agent will help create a Property Advert for the Property and upload it to YopaHub. You will have the opportunity to edit or suggest amendments to the Property Advert on YopaHub. 

2.11 You are responsible for ensuring that all information relating to the Property in the Property Advert is accurate, current and in no way misleading (please refer to the section headed ‘Description of the Property’ in these terms and conditions, below). 

2.12 You acknowledge and agree that you will remove all visible Personal Data from view when any Photography is taking place. Any Personal Data that is captured and marketed via Yopa, you have consented with.  

2.13 Any photographs taken by Yopa or by a third-party provider belong to the Photographer and cannot be used by you outside of the service provided to you by Yopa unless you have received written consent from Yopa. 

2.14 Yopa reserve the right to refuse to allow any image to be uploaded, made live or presented on any marketing or property portal that we consider in our absolute discretion to be inappropriate, inaccurate, misleading, or likely to cause distress or embarrassment to anyone viewing the image. 

Marketing 

2.15 We will advertise the Property for sale on Our Site and any Partner Sites that may be included in your Marketing package, and we consider to be the most effective at securing interest in the Property from prospective Purchasers for the duration of the Marketing Period. We reserve the right to withdraw the advertisement and marketing of the Property from Our Site and/or Partner Sites at our absolute discretion. 

2.16 Third party websites such as Partner Sites are subject to change, and we do not guarantee the continued presence of the Property on any individual website. 

2.17 On occasions we may advertise your property in the local press and on social media platforms. 

2.18 If you choose to stop marketing your property at any time during your Agreement with Yopa, this will be deemed a cancellation of your instruction and will end your Agreement with Yopa  

Viewings 

2.19 It will be your sole responsibility to conduct viewings for prospective Purchasers and we assume no responsibility in this respect unless you have chosen to include Accompanied Viewings as part of your Yopa Bundle or purchased them as an Extra Service. In all circumstances it is your responsibility to record your availability for viewing appointments accurately in your YopaHub account. 

Offers 

2.20 We will provide you (via the YopaHub and/or by email) with written confirmation of all offers received from prospective Purchasers as soon as an offer has been Qualified or otherwise within 48 hours of receipt.  

2.21 You will be able to view all offers in the YopaHub and communicate directly with the prospective Purchaser. If you would like assistance in negotiating any offers you should contact your Local Yopa Agent as this is included in the Services. 

2.22 Upon agreeing the sale of the Property with any Purchaser, you must promptly provide us with the contact details of your instructed conveyancer or solicitor and your mortgage provider. If your instructed conveyancer, solicitor, or mortgage provider changes before Completion, you must promptly provide us with the updated contact details of your instructed conveyancer or solicitor. 

2.23 You confirm that once we receive confirmation that an offer for the sale of the Property has been accepted and the Memorandum of Sale has been signed by both parties, we can automatically forward your details and the details of the prospective Purchaser to the conveyancer or solicitor who you have instructed to allow the conveyancing process to commence. 

2.24 If an offer for the sale of the Property has been accepted you will have access to the Yopa Sales Support Team who will assist you up to the Completion of the sale of the Property. You hereby consent to us contacting your conveyancer, solicitor, and mortgage provider and those of the prospective Purchaser and any other parties involved directly or indirectly in the sale of the Property. 

2.25 We will take reasonable steps to ensure that all parties are informed of any changes or developments in the sale of the Property, however, you are responsible for ensuring all parties are aware of any changes or developments. We accept no liability for any loss arising because of such communications between the parties. 

2.26 In the event that a sale of your property does not complete, we will resume marketing the Property at your request for the remainder of the Marketing Period. 

Reviews 

2.27 Yopa and/or your Local Yopa Agent may contact you if you have not received an offer within the Marketing Period to provide you with recommendations to help Market the Property more effectively and to review your Property Advert. You are under no obligation to follow these recommendations however you will be required to engage with us and your Local Yopa Agent in goodwill discussions. If the Property remains unsold, we and/or your Local Yopa Agent may contact you regularly to offer further recommendations to help Market the Property more effectively. Yopa reserves the right to stop marketing a property if it has not sold within the Sole Agency Agreement Term/Marketing Period. No refund of any fees paid to Yopa will be available if we stop marketing your property under these circumstances. 

2.28 If your Local Yopa Agent receives consistent feedback from prospective Purchasers that suggests the Marketing Price is too high to result in a sale or if the Property receives little interest from prospective Purchasers, your Local Yopa Agent will contact you to review the Marketing Price of the Property. We reserve the right to withdraw the Accompanied Viewings service provided by the Local Yopa Agent, where in our sole discretion, we consider that it is unreasonable for the Local Yopa Agent to continue to accompany viewings in consideration of the feedback received from prospective Purchasers. No refund of any fees paid to Yopa will be available if we withdraw under these circumstances and Cancellation fees may apply. 

Scout Financial Services Limited 

2.29 As part of your Yopa Bundle, should you wish to use the services of Yopa's mortgage broker partner, Scout Financial Services Limited ("Scout"), you are entitled to a reduction in fees (as more particularly described in your Yopa Bundle at the checkout). All Scout fees will be discussed with you by one of Scout's brokers during your first initial no obligation appointment. Scout is registered in England at Meridian House Wheatfield Way Hinckley LE10 1YG with company number 9906155. Scout is appointed representative of the Mortgage Advice Bureau Mortgage Network, which is authorised and regulated by the Financial Conduct Authority.  

3. Additional Services 

Extra Services and Extra Products 

3.1 You may choose to purchase or opt-into one or more of the Extra Services and/or Extra Products below in addition to the Services provided in your Yopa Bundle: 

Accompanied Viewings  

3.2 If you would like your Local Yopa Agent to conduct viewings at the Property during the Marketing Period you may purchase the Accompanied Viewings Extra Service at additional cost using YopaHub. Please note that Accompanied Viewings may be included as standard in certain Yopa Bundles. 

3.3 It is your responsibility to provide sets of keys to your Local Yopa Agent for all lockable doors and cupboards within the Property. 

3.4 You must ensure that your Local Yopa Agent has access to the Property at the date and time of any arranged viewings. 

3.5 You must ensure that the Property is in a safe condition and prepared for all viewings. 

3.6 If your property is empty, you shall ensure that you conduct regular security and condition checks from time to time. Yopa shall not be responsible for doing so nor for informing you about any matter or circumstance arising in your property. 

3.7 Should you fail to provide access to the Property for viewing on multiple occasions, Yopa reserves the right to cancel this Agreement in which case no refund of any fees paid to Yopa will be available and Cancellation fees may apply. 

Rightmove Premium Listing 

3.8 A Rightmove Premium Listing is included in the Standard Marketing Package. The premium listing is fulfilled by our Partner Site, Rightmove and you should refer to Rightmove for more information about the product.  

Zoopla Premium Listing 

3.9 A Zoopla Premium Listing is included in the Standard Marketing Package. The premium listing is fulfilled by our Partner Site, Zoopla and you should refer to Zoopla for more information about the Product.  

Premium Photos, Floorplan and Virtual Tour 

3.10 Premium Photos, Floorplan and a Virtual Tour may be included as part of your Enhanced Marketing Package and is fulfilled by one of our nominated third-party providers. 

3.11 You acknowledge and agree we will share your personal data (including your contact details) with such third-party provider. 

3.12 We will place an order with the provider who will liaise directly with you to arrange a suitable time to take images of the Property. You must notify the provider directly if for any reason you are not available at the agreed time. If the provider attends the appointment but is unable to enter the Property at the agreed time, or if you cancel the appointment on the same day, you will be liable for the cost of any subsequent visit by the provider. 

3.13 Clause 2.12 – 2.14 applies to Photography and related products included in the Enhanced Marketing Package. 

'For Sale' Boards 

3.14 A ‘For Sale’ Board is a fantastic way to show passers-by that your property is on the market. The YopaHub will pre-populate the ‘For Sale’ Board at no extra cost to you. The Board will be erected at your property shortly after you have instructed Yopa. If you do not want a ‘For Sale’ Board, please select “No Thanks” on the YopaHub 

3.15 If you have not selected “No Thanks” to a ‘For Sale’ Board on the YopaHub and you refuse a Board to be erected at your property, you will be charged for the cost of the Board to include any distribution fees. You will also be charged the cost of the Board if you cancel your instruction with Yopa. 

3.16 You are only permitted by law to display one 'For Sale’ board at the Property and therefore you agree that whilst a Yopa ‘For Sale’ board is displayed, no other boards will be erected at the Property. 

3.17 Should Yopa or an agent acting on behalf of Yopa attend the Property to erect a Yopa ‘For Sale’ board and there is a board already displayed at the Property that belongs to another Estate Agent, you agree that Yopa should remove the ‘For Sale’ board to erect the Yopa ‘For Sale’ board. It will be your responsibility to arrange collection of any ‘For Sale’ board that does not belong to Yopa. 

3.18 The Yopa 'For Sale’ board shall belong to us, and we will arrange for the board to be collected at such time when the Property sale is Completed, the Property is withdrawn from the Market, at the end of the agreed Marketing Period, or following cancellation of the Agreement, whichever is the sooner. 

3.19 It is your responsibility to ensure that the 'For Sale’ board is removed from public display no later than 14 calendar days after the sale of the Property and kept safe and secure for collection by us or the provider.  

3.20 The erection of a For Sale board is subject to the Town and Country Planning (Control of Advertisements) Regulations 2007. In certain circumstances, despite your request for us to do so, we may not be able to erect a For Sale board under these laws or the Board may have to be displayed in a certain way to meet the requirements of the Town and Country Planning (Controls of Advertisements) Regulations 2007, which can differ in different locations across the United Kingdom. 

3.21 Yopa will not take any responsibility for any damage that is caused from the erection of the ‘For Sale’ board.  

3.22 If you would like Yopa to remove the For Sale board please contact us by telephone at 0333 305 0202 or by email at hello@yopa.co.uk. 

Energy Performance Certificate (‘EPC’) 

3.23 Pursuant to the Energy Performance of Buildings (England and Wales) Regulations 2012 it is a legal requirement for you to have a valid EPC for the Property at the time of Marketing your property for Buyers to view or to have commissioned an EPC and have it available for Buyers to view within 28 days of your Property being marketed.  

3.24 It is your responsibility to check if you have a valid EPC on the Property you are selling by checking the EPC Register Find an energy certificate - GOV.UK (www.gov.uk). 

3.25 Please provide your Local Yopa Agent with a copy of your EPC or you can commission an EPC from one of our nominated partners by purchasing it at additional cost as an Extra Service through YopaHub. 

3.26 You acknowledge and agree that in purchasing this Extra Service, we will share your personal data (including your contact details) with such third-party provider. 

3.27 We will place an order with the provider who will liaise directly with you to arrange a suitable time to conduct the survey. You must notify the provider if you are not available at the agreed time. If the provider attends the appointment but is unable to enter the property at the agreed time, you will be liable for the cost of any subsequent visit by the provider. 

3.28 Once the survey has been completed you will not be offered any form of refund. 

Third Party Services 

3.29 We offer all Sellers and prospective Purchasers an introduction to our selected partners who offer additional services such as insurance, mortgages, surveys, auctions, lettings, and conveyancing. It is entirely the Sellers and prospective Purchasers decision on whether they wish to be introduced and then instruct any of our selected partners. Should you choose to instruct any of our selected partners, you should know that we would receive a commission/referral fee from our selected partners for recommending Sellers and prospective Purchasers. As these fees vary upon the instruction, you can request details about the specific referral fee or admin fee from your Local Yopa Agent or by emailing referrals@yopa.co.uk You acknowledge and agree that any relationship between you and a third-party supplier is by separate agreement and Yopa shall have no liability to you for the additional services provided by such third parties. 

3.30 Should you select our Conveyancing Panel to carry out the legal process for your property transaction, upon instructing Yopa to sell your property, our conveyancing partner Optimus will be notified. You will be assigned a conveyancer from their panel and a Welcome Pack will be sent over by your designated conveyancer for you to complete and send back. 

3.31 If you choose to instruct a conveyancer using our conveyancing Optimus panel to complete the sale of your property and subsequently cancel, the cancellation of the conveyancing instruction will require you to pay a cancellation fee of £300 (inclusive of VAT). 

Additional Services between yourself and your Local Yopa Agent 

3.32 You may purchase one or more of the Extra Services and/or Extra Products and/or Enhanced Marketing Package mentioned above (in addition to the Services provided in your Yopa Standard Marketing Package) either as part of your original order or as a subsequent purchase through your Yopa account. If you make a subsequent purchase through your Yopa account, that purchase will constitute a variation to your contract with us and will be governed by the terms and conditions of this Agreement. If you agree any services that are not purchased on the Yopahub using your Yopa account, this will form a separate Agreement between you and your Local Yopa Agent. Yopa Property Limited will not take any responsibility and/or liability in respect to these services and/or products and the fees applicable to the services and/or products. 

4. No Sale, No Fee 

Sole Agency Period 

4.1 By accepting these terms and conditions, you instruct us to market your Property on a ‘Sole Agency Basis’ for a minimum term of xx weeks from the Acceptance Date and thereafter we shall continue to Market the Property on a Sole Agency Basis until either you or we cancel this Agreement in accordance with Clause 6 (“Sole Agency Period”).  

4.2 You will be liable to pay the Yopa Fee, in addition to any other costs or charges agreed, including any administrative costs incurred in collecting the unpaid Yopa Fee, if at any time unconditional contracts for the sale of the Property are exchanged: 

  • with a purchaser introduced by us during the Sole Agency Period or with whom we had negotiations about the Property during that period; or 

  • with a purchaser introduced by another agent during that period. 

4.3 You will be liable to pay the Yopa Fee, or a proportion of it which represents the costs incurred by Yopa in delivering the Services to you, should you agree to Market the Property with any other estate agent during the Sole Agency Period after the Acceptance Date. 

Multiple Agency Period 

4.4 After the XX-week period following the Acceptance Date you may choose to appoint a third party to market the property alongside Yopa on a ‘multiple-agency’ basis (“Multiple Agency Period”). Yopa reserves the right at its sole discretion to continue to market the property on a ‘multiple agency’ basis or otherwise cancel this Agreement in accordance with Clause 6. 

4.5 You will be liable to pay the Yopa Fee, in addition to any other costs or charges agreed: 

  • in accordance with Clauses 4.1 and 4.3; or 

  • if at any time unconditional contracts for the sale of the property are exchanged with a purchaser introduced by us during the Multiple Agency period or with whom we had negotiations about the property during that period.  

5. The Yopa Fee and Payment 

5.1 The Yopa Fee is payable to us upon Completion of the sale of the Property to any Purchaser introduced by us, or, during the Sole Agency Period only, introduced by any other agent. We also reserve the right to charge you the Yopa Fee, or a fair proportion of it, for the Services delivered to you by Yopa if you agree to Market the Property with any other estate agent during the Sole Agency Period at a date after the Agreement Date (the date you agree to instruct Yopa and accept these terms and conditions). 

5.2 The obligation to pay the Yopa Fee arises when you accept these terms and conditions and prior to the commencement of the Services, and this obligation shall survive termination of this Agreement if the Property is sold directly or indirectly because of the provision by us of the Services under this Agreement. 

5.3. If another estate agency is advertising the Property, it is your responsibility to ensure that you are allowed to advertise with us at the same time. Please take care to ensure you understand the fees that may be due to us and/or the other agency. You agree to indemnify Yopa for any other fees owed in connection with the advertising of your property. 

5.4 You agree to notify us promptly on the occurrence of each of the following events, including details relating to the parties involved and the timing:  

a. you agree to the sale of the Property with any Purchaser. 

b. unconditional contracts for the sale of the Property are exchanged; and 

c. upon Completion of the sale of the Property.  

Upon exchange of contracts on your Property, we have the right to remove the Property from the YopaHub, Our Site and all Partner Sites and stop all active marketing. 

5.5 You must promptly provide us with the contact details of your instructed conveyancer or solicitor as soon as they are instructed and by no later than ten business days prior to the expected date for exchange of unconditional contracts for the sale of the Property. If your instructed conveyancer or solicitor changes at any time before Completion, you must promptly provide us with the updated contact details of your instructed conveyancer or solicitor. 

5.6 We will raise an invoice for the Yopa Fee in respect of the sale of the Property upon production of the Memorandum of Sale and shall be payable at Completion of the sale of the Property. You hereby agree to pay the Yopa Fee immediately upon completion in accordance with this Clause 5. Any failure to pay the Yopa Fee in accordance with this Clause 5 shall result in interest being charged and payable at an annualised rate equal to the Barclays Bank Base rate plus 4%. If Yopa Fee remains unpaid for a period of 30 days or longer, Yopa reserves the right to instruct any third part(y)/(ies) to take steps to collect the overdue debt. 

5.7 You give us authority to submit our invoice the Yopa Fee and any other amounts due to us to your instructed conveyancer or solicitor and you further warrant that you shall give authority to and instruct the conveyancer or solicitors acting on your behalf on the sale of the Property to pay the Yopa Fee to us immediately upon Completion. 

5.8 If the Property is part exchanged with other premises, the Yopa Fee will be payable in full on the day that Completion takes place. 

5.9 If the Seller of the Property is more than one person, all such persons will be liable for payment of the Yopa Fee and other such amounts owing under this Agreement and such liability will be joint and several, meaning that we may apply to any of the persons who are Sellers to individually pay the full sum owing in fees costs and any agreed expenses. 

5.10 You will not be liable to pay us the Yopa Fee where a Purchaser is an Existing Prospective Purchaser and, prior to accepting these terms and conditions, you have notified us of the name and addresses of that prospective Purchaser.  

5.11 You will not be liable to pay us the Yopa Fee where a Purchaser introduced during the Multiple Agency Period was introduced by another estate agent and at no time used any of the Services provided by us. 

5.12 If you have cancelled the contract and instruct another estate agent to sell the Property, you shall remain liable to pay the Yopa Fee if a Memorandum of Sale is issued by another agent to a Purchaser that we have introduced within 6 months of the date this Agreement was terminated and where a subsequent exchange of contracts takes place with that Purchaser. If no estate agent participates in the transaction this time limit shall extend from 6 months to two years. 

5.13 Please note that you may be liable to pay more than one estate agency fee if you have previously instructed another agent to sell the Property on a sole agency, joint sole agency, or a sole selling rights basis. It is your responsibility to check the terms and conditions of any estate agency contract into which you have previously entered.  

5.14 The Yopa Fee and Yopa Bundle is based on the marketing and promotion of one property. If you want us to market multiple properties, a separate agreement will need to be entered into and a separate fee will be payable for each property.  

Yopa Extra Fees 

5.15 Yopa Extra Fees will vary depending on which products and services you order and can be found on Our Site. You can purchase additional Extra Services and/or Extra Products at any time during your Agreement with Yopa by using the YopaHub or speaking with your Local Yopa Agent. 

5.16 Any Yopa Extra Fees for Extra Services and Extra Products to include the Enhanced Market Package will be payable immediately on purchase unless such Extra Service and/or Extra Product is included as standard in your Yopa Bundle. 

5.17 If you cancel this Agreement in accordance with Clause 6 and you have purchased any additional Extra Services and/or Extra Products and/or the Enhanced Marketing Package you may not be entitled to a refund if the services and products have been carried out.   

Yopa Anti-Money Laundering Fees 

5.18 Yopa are obliged to carry out certain checks against all Vendors to include proof of ownership and identification and address verification. Please refer to Clause 8.6(j) for further details. We will engage with a third-party provider to conduct the check and our Compliance team will verify the information. The costs of this due diligence process is £84 inc VAT per property listed, which is paid in advance, prior to a property being listed. This charge is non-refundable under any circumstances. 

Collection of the AML Fee and the Enhanced Marketing Fee 

5.19 By agreeing to these Terms and Conditions you are authorising Yopa to share your debit or credit card details with our Merchant Bank. Yopa reserves the right to change their payment gateway without notifying you of this change. By providing your debit or credit card details you are authorising a payment to be taken by Yopa via Stripe or Yopa directlyYou authorise us to collect payment of the AML Fee immediately. If you have selected the Enhanced Marketing Package, you agree that Yopa may collect the fee immediately. You will need to provide your credit or debit card details on this platform. Your credit or debit card details will not be stored by us but will be stored by our Merchant Provider who are Stripe Payments UK Limited (Company No. 08480771) who are incorporated under the laws of England and Wales and whose registered offices are at 9th Floor, 107 Cheapside, London EC2V 6DN. Stripe Payments UK Limited is a certified Level 1 PCI Service Provider who will retain such details in accordance with their terms and conditions and privacy policy.  

Fees Disclaimer 

5.20 The Yopa Fee quoted is the Yopa Fee agreed by you at the Acceptance Date. If for any reason you wish to cancel the Agreement and wish to re-instruct Yopa on a different Yopa Bundle, the Yopa Fee payable will be the Yopa Fee quoted on the Yopa website at the date you agree to instruct Yopa on the new Yopa Bundle. 

5.21 If you choose to instruct GoTo Auctions, a trading name of Genle Ltd, registered office, 19-21 Chapel Street, Marlow Bucks SL7 3HN to sell your property on behalf of Yopa, you will be asked to sign GoTo Terms & Conditions. Should you proceed to sell your property through GoTo Auctions during the term of your agreement with Yopa Property Limited, Yopa will not charge you the Yopa sale fee detailed in this agreement. Yopa may receive a referral fee from GoTo Auctions if your property sells through them. 

6. Duration, Cancellation and Refunds 

Your right to cancel 

6.1 You may be entitled to cancel this Agreement at any time within 14 calendar days of the Agreement Date, which is the date you accepted the terms and conditions (the "Cancellation Period") by sending us your decision in a clear statement by email at hello@yopa.co.uk or contacting us by phone on 0333 305 0202. If any services have been performed by a third-party supplier within the 14 days, such as professional photography there will be no refund of these fees. If you have cancelled your instruction after the cancellation period but before your property is listed, you will be charged an administration fee to cover the initial set up costs of your transaction, together with any extra services and/or products that you have selected that have been performed, together with your AML fee. This administration fee is £100.00.  

6.2 If during the cancellation period, you have agreed for your property to be listed by Yopa, or you have purchased extra services and/or products and these have been performed, it will be deemed that you have waived your cancellation rights and Yopa has provided the Marketing services to you, and you will no longer be entitled to a full refund of the Yopa Fee. 

6.3 Following the Cancellation Period you can terminate this Agreement at any time after the Sole Agency Term by providing us with 14 days’ notice contained in a clear statement by letter, post, or email. Please note that such notice may be given 14 days prior to the expiry of the Sole Agency Term such that termination of the Agreement will occur immediately thereafter.  

6.4 If you cancel your Agreement after the 14 days cancellation period but before the XX weeks Sole Agency term, you will be charged for any services performed from the date of the Agreement, which was the date you accepted these terms & conditions to the cancellation date. 

6.5 We may amend or withdraw any or all the Services, Extra Services or Extra Products by writing to you and providing at least 14 calendar days’ notice in advance of such amendment or withdrawal. Upon receiving our notice to you of the amended or withdrawn Services, you shall have the right to terminate this Agreement by giving 14 calendar days’ notice in writing to us that you wish to end this Agreement.  

Yopa’s right to cancel 

6.6 We may terminate this Agreement at any time by providing you with 7 days’ notice if: (a) you have committed a material breach of the terms of this Agreement and that breach is incapable of remedy; or (b) you have committed a material breach of the terms of this Agreement and you have not remedied that breach within 7 days of our notification of such breach(s); or (c) you are in persistent breach of the terms of this Agreement. 

6.7 We may terminate this Agreement with you at any time in writing if you do not: (a) within ten business days of the Agreement Date, provide us with information that is necessary in order for us to provide the Services in full (including but not limited to information requested to verify your identity and your ownership of the Property, and evidence that a valid EPC certificate exist or has been commissioned, or (b) if such information fails our customer due diligence and/or money laundering checks, in which case we may also have to cease to act without explanation. 

6.8 We may terminate this Agreement if we discover that you have breached your warranties at Clause 8.6 and we subsequently decide to terminate this Agreement, you shall be liable to pay us liquidated damages (plus administration costs for recovery) of £250. You agree that these damages are a genuine pre-estimate of the minimum costs that we have incurred and are not a penalty. The payment of such liquidated damages does not exclude our right to bring a further claim for general damages if we have suffered further losses.  

6.9 We may terminate this Agreement at any time if you are abusive to any of our Local Yopa Agents or any employee of Yopa and we can no longer continue a business relationship with you. 

6.10 We may terminate this Agreement after the term of the Sole Agency Period, for any other reason which is not noted in clause 6.7 – 6.9 by providing you 7 days-notice. 

6.11 For the avoidance of doubt, a change to the Local Yopa Agent or the Marketing Price does not constitute an amendment to this Agreement. 

7. Limitation of Liability and Indemnity 

7.1 We do not exclude or limit in any way liability for death or personal injury caused by our negligence or the negligence of our Associates, fraud, or fraudulent misrepresentation; or breach of any terms implied by the Supply of Goods and Services Act 1982.  

7.2 If we fail to comply with these terms and conditions, our liability to you shall not exceed the price you have paid for the Services (including the Yopa Bundle and/or any Extra Services or Extra Products) and if you have not paid for the Services, our liability shall not exceed £1,000. Our liability shall not in any event include business losses such as loss of data, loss of profits, loss of contracts or business interruption. 

7.3 We will not accept any responsibility for any damage or loss suffered as a result or in connection with the placing and erection of the 'For Sale’ board on your property. 

7.4 We do not accept any responsibility for any loss or damage caused by a prospective Purchaser visiting the Property. 

7.5 You agree that it is your responsibility to ensure the safety of any prospective Purchaser visiting your property, and we do not accept any liability in this respect. 

7.6 Due to the nature of the Services, we do not guarantee that you will receive viewings requests, receive an offer, or complete the sale of the Property. We will not be liable for any losses, claims, damages, costs, or expenses suffered or incurred by you or any other person should the Property not sell.  

7.7 You agree that you will indemnify us and/or our Associates, and keep us and/or our Associates indemnified, from and against all direct costs, expenses, damages, and losses, which may be suffered or incurred by us in connection with any third-party claim made against us arising because of the Seller’s breach of this Agreement or its legal responsibilities. 

8. General 

Description of the Property 

8.1 It is your legal responsibility to disclose any information you are aware of that relates to the Property in a clear, intelligible, and timely manner and you agree to comply with this responsibility. You will provide information that is accurate and not misleading, and you must not omit to disclose anything material that may impact on the average consumer’s transactional decision in relation to the Property. If the Property is a leasehold property, you must provide details of service charges, ground rent, the length of years remaining on the lease, and any special conditions relating to the lease. 

8.2 You acknowledge and agree that it is your responsibility to check your Property Advert in its totality and notify us of any incorrect or missing information prior to the Property being listed on the Market. If at any time you become aware of any such incorrect or missing information while the Property is listed on the Market, you must notify us immediately. 

8.3 If you feel that any marketing material promoting the Property is not accurate or is misleading, you must contact us immediately. We will review the relevant material as soon as is practicable and take such action as is necessary to amend the material. You acknowledge that material promoting the Property is subject to change at any time. 

8.4 If we are notified or made aware of information or material provided by you that infringes a third party’s intellectual property rights, we have the right to remove the Property from Our Site and Partner Sites immediately. 

Existing Prospective Purchaser 

8.5 You must inform us of any Existing Prospective Purchaser known to any Seller in writing to hello@yopa.co.uk  prior to accepting these terms and conditions including the address of the Property being sold and clearly stating the full names and addresses of each Existing Prospective Purchasers. 

Your Obligations 

8.6 You warrant and undertake that you: 

a. have entered into the Agreement in good faith and with a genuine desire to engage us to sell your Property; 

b. are the sole owner or joint owner of the Property and/or have the legal right to sell the Property; 

c. have the necessary authority, power, and capacity to instruct us to list the Property for sale from all owners of the property and will provide evidence of such if required to do so by us; 

d. own or are licensed to use all intellectual property rights in any content uploaded onto Our Site or the YopaHub and that any such content does not infringe any third party’s intellectual property rights; 

e. will co-operate with any reasonable security checks or requests for information made by us or your Local Yopa Agent from time to time; 

f. will notify us or the Local Yopa Agent if you are not the legal owner of the property you have instructed us to sell or if you are acting on behalf of a company or trust; 

g. you are allowed to advertise with us at the same time if the Property is being advertised by another estate agency. If you instruct us to advertise the Property and subsequently find that this puts you in breach of your other agent’s terms of contract, then your listing can be stopped provided you give us at least 48 hours’ notice in writing, but you will be liable for any costs incurred by us up to that date and may be liable to pay the Yopa Fee in full; 

h. will provide Yopa and your Local Yopa Agent with such information and materials as Yopa and your Local Yopa Agent may require (including a homeowner’s report if your property is in Scotland) to provide the Services and that such information follows Clause 8.1 of these Terms and Conditions; and 

i. will commission an EPC for the Property prior to the marketing of the Property if a valid certificate does not already exist. If a valid EPC does exist you will provide a copy to us within ten business days of the Agreement Date, which is the date you have accepted these terms and conditions. 

j. have authority to instruct Yopa to market the Property on behalf of all co-owners of the Property. Yopa are obliged to carry out customer due diligence on all customers in accordance with Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 (“Money Laundering Regulations 2017”)You agree to provide us with any documentation that we may require for these purposes, such as photographic identification, proof of address etc. If we are unable to verify your identity and cannot comply with our obligations under the Money Laundering Regulations 2017, we shall be entitled to terminate the Agreement with you immediately, without notice or liability to you, and cease to provide the Services with immediate effect. We may also have to cease to act without explanation in certain circumstances and we will not be liable to you for any liability’s losses, costs or expenses suffered by you in such circumstances. Processing this information is necessary for compliance with Money Laundering Regulations and will only be used for this purpose. Your Local Yopa Agent may take copies of your documents on their devices which will be uploaded to the YopaHub as soon as possible. Once they are uploaded to the Yopahub, all documentation held by the Local Yopa Agent will be deleted from their devices. We may use a third-party provider to assist with this process and there will be a charge for conducting and considering the check. For further information about the processing of personal data, please see our Privacy Policy. 

k. will be informed as soon as we become aware of anyone making an offer for your property that is in any way connected with Yopa; whether they are employed or engaged by us, a family member of an associate of Yopa. If you are aware of any personal interest from anyone connected with Yopa you should notify us immediately. We will then make such enquiries as we consider necessary and provide you with a notification in writing of the nature of the personal interest. You will have the sole discretion to decide whether you wish to deal with the person or persons concerned. We will never knowingly permit any offer to be made or sale agreed with someone connected to Yopa unless we have provided you with written notice. If you are in any way connected with Yopa; whether you are employed or engaged; a family member of an associate of Yopa, please disclose this to us immediately. This will be disclosed to all potential purchasers by a note being added to your property advert. 

Application of these Terms 

8.7 Neither you nor we exclude our liability for misrepresentation. If we already have an Agreement with you and we enter into another agreement in relation to the same subject matter, the new agreement will supersede and replace this Agreement. 

Referrals and Introductions 

8.8 Any person can introduce or make referrals to us, verbally or via email or any referral scheme. If a person introduced or referred to us subsequently purchases a Yopa Bundle from us then this could be subject to an incentive which could include, for example, vouchers or Extra Service(s) or Extra Product(s) (at the sole discretion of us). Authorised referral incentives are subject to their own specific terms and conditions. 

8.9 Any person referred or introduced to us will have the right to opt-out of email campaigns upon receipt of their first email (or subsequent emails). 

Complaints 

8.10 Any complaints about the Services must be made in writing and sent to us via email at complaints@yopa.co.uk. Any such complaints will be dealt with swiftly and professionally. 

8.11 In the event that any complaint cannot be resolved with us directly, please be aware that we are registered with the Property Ombudsman Scheme which provides consumers with a free, impartial, and independent alternative dispute resolution service. 

Changes We May Make To This Agreement 

8.12 We may amend this Service Agreement without telling you first. We will only do this for changes that: 

  • we consider to be to your advantage and do not increase the cost to you of providing the relevant Product or Service; 

  • introduce new products or services; or 

  • we are required to make to comply with any law or regulation, or the decision of a court or Relevant Regulator. 

 

We will tell you about these changes within 30 days of the change happening. 

 

8.13 We will give you at least 60 days’ notice before any change that might make you worse off, for example if we increase the costs of any Product or Service which we are providing to you. We will explain the reason for the change and how it will affect you. 

 

8.14 If you are not happy with the change you can terminate your Agreement and we will provide you with a partial refund of any Product Service Fee(s) paid by you. The amount of this refund will be determined by reference to the Products and Services provided to you, and how long we have provided them for. If you have chosen Pay later, we will explain to you the costs payable by you for the Products and Services received. 

Yopa Proprietary Rights 

8.15 You acknowledge and agree that we and/or our licensors own all legal right title and interest in and to Our Site and the YopaHub. 

Applicable law 

8.16 With the exception of Appendix 1, the Agreement is governed by English law, any claim arising out of, or in connection with it, its subject matter or formation (including non-contractual disputes or claims) shall be governed by, and construed in accordance with the laws of England and Wales and both parties agree to submit to the exclusive jurisdiction of the English courts. 

SELLER ACCEPTANCE OF THESE TERMS AND CONDITIONS 

[I am / we are] [delete as appropriate] entitled to sell the Property and have read, understood, and agree to the fees and the terms and conditions. In addition, by signing these terms and conditions I confirm that [I / we] have read and understood Yopa’s privacy policy at https://www.yopa.co.uk/privacy-policy.  If you are selling a property in Scotland, please see Appendix 1 to these terms.

Appendix 1 - Scotland 

If your Property is in Scotland, the Terms and Conditions above shall be amended as set out below. 

1. Interpretation 

a. “Completion” shall be construed as “settlement.” 

b. “Exchange of contracts” (and references to “exchange” or “contracts” in this context) shall be construed as “conclusion of missives.” 

c. “Memorandum of Sale” shall be construed as “formal offer.” 

d. In the event of any conflict between the terms in this Appendix 2 and the Terms and Conditions, the terms in this Appendix 2 shall prevail. 

2. Home Report  

a. For most residential property transactions in Scotland it is a legal requirement (under the Housing (Scotland) Act 2006) to have a Home Report for the Property before we can Market the Property. 

b. You can commission a Home Report from one of our nominated partners by purchasing it at additional cost as an Extra Service through your YopaHub. 

c. You acknowledge and agree that in purchasing this Extra Service, we will share your personal data (including your contact details) with such third-party provider. 

d. We will place an order with the provider who will liaise directly with you to arrange a suitable time to conduct the survey. You must notify the provider if you are not available at the agreed time. If the provider attends the appointment but is unable to enter the property at the agreed time, you will be liable for the cost of any subsequent visit by the provider. 

e. You must ensure that the Home Report is true and accurate (to the best of your knowledge). 

3. Energy Performance Certificates (EPCs) 

a. Please disregard the paragraphs in the Terms and Conditions on EPCs.  

4. Law and Jurisdiction 

a. The Agreement is governed by Scots law, and you and YOPA agree to submit to the exclusive jurisdiction of the Scottish courts. 

 

Appendix 2 – Disclosure of Referral Fees 

We recommend sellers and/or potential buyers to use the following services. Should you decide to use the services of the provider you should know that we would expect to receive a referral fee, from them for recommending them to you, the average fee is listed below. You are not under any obligation to use the services of any recommended providers, though should you accept our recommendation the provider is expected to pay us the corresponding Referral Fee.
