Acceptable Use Policy

This Acceptable Use Policy (AUP) governs the use of SOCi’s Platform and Subscription Services. It applies to all Users authorized under a Customer account. Updates to this AUP are periodically made at www.soci.ai/aup, and it is the responsibility of Users to stay informed of such changes. Terms not defined herein are as delineated in the Agreement.

  1. Definitions

“Customer” means the entity or person with a signed agreement with SOCi that allows it and its authorized Users the right to access the Subscription Services.

“Customer Content” means any content, data, text, messages, images, and the like that are owned or licensed by Customer and uploaded by or on behalf of Customer or its Users to the Services. Customer Content is generally comprised of content intended to be publicly published to the Networks and, as such, should have no expectation of privacy if publicly published. 

”Derivative Content” means content created by Customer or User that may include or incorporate any combination of Customer Content, External Content, SOCi Content, or any other third-party content. Your ownership of Derivative Works is limited to your Customer Content.

 “External Content” means any content, including links, posts, excerpts and the like, not created or owned by Customer or a User, that is obtained by SOCi on Customer’s or User’s behalf or accessed by Customer or User via the Platform, including, but not limited to (i) RSS Feeds; (ii) other user pages of profiles on the Networks;  (iii) comments, links or posts to your Network or publisher sites by visitors, end users of your customers; (iv) content publishers;  or (v) any data derived from (i) – (iv), including reports, summaries, graphs, and charts.  

“Network” means any third-party social media, review, search, listings or other site or business network that is being managed by Customer and/or User through Customer’s SOCi Account or User Account and/or the Services, including, but not limited to, Facebook, X, Instagram, LinkedIn, Yelp, and Google Business Profile. Customer acknowledges that the Networks are not controlled by SOCi and any interaction between Customer or its Users and the Networks is subject to additional terms and conditions as set by such Networks.

“Restricted Information” means (i) social security numbers, passport numbers, military numbers, voter numbers, driver’s license numbers, taxpayer numbers, or other government identification numbers; (ii) Protected Health Information (as defined in the U.S. Health Insurance Portability and Accountability Act of 1996 and regulations thereunder, as amended “HIPAA”), or similar information under other comparable laws or regulations; or (iii) credit or debit card numbers, or any related security codes or passwords, bank account numbers, or similar information.

“SOCi Content” means content SOCi creates, owns, or licenses (including photos). Use of SOCi Content requires that you elect to include SOCi Content as part of your Subscription Services, and such use is limited to the Subscription Term in your Order Form.  Your use of SOCi Content is limited to the Term of this Agreement.

“Subscription Services” means the SOCi subscription services you have the right to use on an annual basis to access via the SOCi Platform.

“User” means an individual authorized by Customer the right to use the Subscription Services.   

  1. Account and Password Security.  You acknowledge and agree that your login credentials and/or private keys are for your internal use only.  You will not sell, transfer, sublicense, or distribute them to any third party or person other than your agents or subcontractors performing work on your behalf. You will be responsible for maintaining the security of all credentials that you and your Users use to access the Services, including User Account names and passwords (including but not limited to administrative and user passwords).  You hereby acknowledge and agree that you shall be responsible for all activities that occur under your account, regardless of whether you authorized them.
  1. User Responsibilities, Compliance, Content, and Platform Use Guidelines. When using the SOCi Platform and Subscription Services, Users must:
  • Comply with all applicable laws and regulations, including those related to content for children and anti-discrimination.
  • Follow the terms of third-party Networks and services accessed through the Subscription Services (e.g., Facebook, LinkedIn, Yelp, OpenAI, etc.).
  • Keep User login credentials confidential and secure.
  • Promptly notify SOCi of any security breaches or unauthorized use of their account.
  • Be at least eighteen (18) years of age and eligible to have a SOCi account.
  • Use the Platform and Subscription Services at their own risk, acknowledging that they are provided “AS IS” and “AS AVAILABLE.”
  • Not modify, adapt, or hack the Subscription Services, nor falsely imply an association with SOCi.
  • Obtain SOCi’s express written permission before reproducing, duplicating, copying, selling, reselling, or exploiting any aspect of the Subscription Services.
  • Not use excessive bandwidth that exceeds the average use of other customers, as determined by SOCi.
  • Ensure their use does not impair the reliability, speed, or operation of the Platform, Subscription Services, or their underlying infrastructure.
  • Not promote content through the Subscription Services that is harmful, hateful, obscene, or deemed unlawful by SOCi.
  • Prevent the transmission of worms, viruses, or any code of a destructive nature through the Platform or Subscription Services.
  • Refrain from posting or distributing Customer Content that is unlawful, abusive, defamatory, deceptive, invasive of privacy, or otherwise violates SOCi’s rules or policies.
  • Avoid discrimination, harassment, or intimidation of individuals based on protected characteristics.
  • Respect intellectual property rights and refrain from unauthorized advertising or solicitation.
  • Not use any device, software, or routine that interferes with the proper working of the Platform.
  • Avoid unauthorized access, interference, damage, or disruption to any parts of the Platform, its servers, or any connected server, computer, or database.
  • Not conduct denial-of-service attacks or distributed denial-of-service attacks against the Platform.
  • Not engage in any other activities that interfere with the operation or integrity of the Platform and Subscription Services.
  • Special Restrictions on Use of AI Services. If your use of the Subscription Services includes the use of SOCi’s Genius Features and Products, use must comply with the third-party AI provider terms (https://www.soci.ai/legal/).
  1. Customer Content, External Content, and Derivative Content. The Platform also allows you to use Customer Content, External Content, SOCi Content, and any other third-party content to create Derivative Content. SOCi is not responsible for any External Content made available to you via the Subscription Services you may access via the Networks or other third parties or that you may use to create Derivative Content.  You are responsible for ensuring that you have all rights necessary to use and publish any Derivative Content you create via the Subscription Services and does not violate any third-party terms or rights.  You acknowledge that SOCi is merely acting as a passive conduit for your online distribution and publication of Customer Content, External Content, or Derivative Content to the Networks via the Platform or the Subscription Services.
  1. Use Restrictions. You will not reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, object code or underlying structure, ideas or algorithms of the Platform, Subscription Services, or any software, documentation or data related to the Platform; modify, translate, or create derivative works based on the Platform; use the Platform other than for your internal benefit; use the Subscription Services other than in accordance with this Acceptable Use Policy or any other written agreement in place.
  2. Right to Remove Content.  We and our agents have the right in our sole reasonable discretion to ensure the continued use of the Platform and/or Subscription Services for all our customers to remove any Customer Content that, in our reasonable judgment, does not comply with this Acceptable Use Policy, is required to be removed by the Networks or publishers in compliance with social media content moderation laws or regulations, or any other rules of user conduct for the Subscription Services, or is otherwise harmful, objectionable, or inaccurate.  We are not responsible for any failure or delay in removing such content.  You hereby consent to such removal and waive any claim against us arising out of such removal.
