To comply with this Agreement, you must sign the following statement:
Agreement for 3D Model Creation
This Agreement is made and entered into as of [Date] by and between LEAN System, hereinafter referred to as "Client," and [Freelancer's Name], hereinafter referred to as "Freelancer."
1. Ownership and Rights.
1.1. Ownership. All rights, title, and interest in and to the 3D model, including but not limited to all copyrights, trademarks, and other intellectual property rights, shall be exclusively owned by Client.
1.2. Freelancer’s Rights. Freelancer shall have no right to use, reproduce, distribute, or otherwise exploit the 3D model for any purpose other than as expressly authorized by Client in this Agreement. Freelancer acknowledges that they have no ownership interest in the 3D model and that the model is a work made for hire.
1.3. Publication Restrictions. Freelancer agrees not to publish, display, or otherwise make public the 3D model or any part thereof, in any form or medium, without the prior written consent of Client.
1.4. Additional Restrictions.
1.4.1. Portfolio Use. Freelancer agrees not to use the 3D model in any portfolio, showcase, or other promotional materials, whether online or offline.
1.4.2. Disclosure to Third Parties. Freelancer shall not disclose the 3D model or any information related thereto to any third party without the prior written consent of Client.
2. Remedies for Breach.
2.1 If Freelancer breaches any provision of this Agreement, Client may, in addition to any other remedies available at law or in equity:
2.2 Notify Freelancer of the breach and require Freelancer to cure such breach within a specified period.
Suspend or terminate Freelancer's access to the Client's systems and services.
Seek damages, including but not limited to, any direct, indirect, incidental, special, consequential, or punitive damages.
3. Account.
3.1. Definition. "Account" means the unique user identification and password assigned to Freelancer by Client to access the Services.
3.2. Account Security. Freelancer is responsible for maintaining the confidentiality of the Account and for all activities that occur under the Account. Freelancer shall immediately notify Client of any unauthorized use of the Account.
4. Payment
The Freelancer agrees to securely destroy all project-related data within one month of project completion. Payment will be issued upon receipt of written confirmation of data destruction.
