If you are a consumer, please note that these terms of use, their subject matter and their formation, are governed by English law. You and we both agree that the courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.

If you are a business, these terms of use, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.

 Social Media Promotion Terms & Conditions

MIZKAN SOCIAL MEDIA PROMOTION TERMS AND CONDITIONS (UK only)

These terms and conditions apply to any promotion, prize draw or competition (“Promotion”) administered or operated by Mizkan Euro Ltd. via social media platforms.

  1. PROMOTION ORGANIZER

The promoter is: Mizkan Euro Ltd. (company no. 08053234) (“Mizkan“) whose registered office is at 1st Floor, Building 4, Chiswick Business Park, 566 Chiswick High Road, London, W4 5YE.

  1. CONDITIONS AND VALIDITY OF PARTICIPATION IN THE PROMOTION

The Promotion is open to people who are residents in the United Kingdom aged 18 years or over, except:

  • employees of Mizkan or its holding or subsidiary companies;
  • employees of agents or suppliers of Mizkan or its holding or subsidiary companies, who are professionally connected with the Promotion or its administration; or
  • members of the immediate families or households of (a) and (b) above.
  1. PROMOTION POST

From time to time, Mizkan may invite our social media fans to take part in a Promotion by posting on the wall of the social media platform page / grid/ stories etc. (a “Promotion Post”).

A Promotion Post will, where sufficient space allows, include the following information:

  • The opening and closing date (“Closing Date”) for Entry. If no time is specified, then the Promotion shall close at 23:59.59 on the Closing Date;
  • The method of entry (“Entry Instructions”);
  • The number and type of Prize(s) available (“Prize(s)”);
  • The method of selecting the winner(s) (“Winner(s)”)
  • Link to the applicable full T&Cs.

In the event of a conflict between these Terms and Conditions and any terms and conditions specified in a Promotion Post, the terms and conditions in the Promotion Post will prevail.

  1. PROMOTION ENTRY

There is no entry fee and no purchase is necessary to enter this Promotion. By entering into this Promotion, the participant agrees to be bound by these Terms and Conditions.

Only one entry will be accepted per person. Multiple entries from the same person will not be counted.  Entries on behalf of another person will not be accepted and joint submissions are not allowed.

Entries are subject to verification and will be declared invalid if they are illegible, mechanically reproduced, forged, falsified, altered or tampered with in any way.

Entries automatically generated by a computer or otherwise will not be accepted. Any attempts to use automated systems for entry will void that entrant’s eligibility.

Mizkan reserves all rights to disqualify any participant from the Promotion for any violation of these terms and conditions, including any attempt to undermine the operation of the Promotion, as well as any fraud, attempt at fraud, attempt at unfair participation or at Mizkan’s sole discretion, if it considers that your conduct is contrary to the spirit or intention of the Promotion. Mizkan’s decision as to any disqualification shall be final and no discussion will be entered into.

  1. PRINCIPLE AND TERMS OF THE PROMOTION

To enter the Promotion, participants must follow the Entry Instructions carefully in the Promotion Post.

No responsibility can be accepted for entries not received or if it does not meet the criteria in the Promotion Post, for any reason not attributable to Mizkan.

In entering the Promotion, the participant confirms that they are eligible to enter the Promotion as set out above.  Mizkan may require the participant to provide proof that the participant is eligible to enter the Promotion.  Mizkan reserves all rights to disqualify any participant if their eligibility to enter the Promotion cannot be confirmed.

  1. THE WINNER

The Winner(s) will be selected at random from all of the correct and valid entries entered.

The decision of Mizkan is final and no correspondence or discussion will be entered into.

Mizkan must either publish or make available information that indicates that a valid award took place. To comply with this obligation Mizkan will send the name and county of the Prize Winners to anyone who writes to the following address: Social Media Promotion, Mizkan Euro Ltd. 1st Floor, Building 4, Chiswick Business Park, 566 Chiswick High Road, London, W4 5YE, United Kingdom (enclosing a self-addressed envelope) within one month after the Closing Date. If you object to any or all of your surname, county and winning entry being published or made available, please contact Mizkan at: hello@mizkan.co.uk. In such circumstances, Mizkan may still provide the information and winning entry to the Advertising Standards Authority on request.

  1. ANNOUNCEMENT TO THE WINNER

The Winner will be contacted via a private message on the relevant social media platform.

The Winner will have to confirm their wish to benefit from the Prize by replying to Mizkan’s message within seven (7) days of the dispatch. In the absence of confirmation within that period, the Winner shall be deemed to have renounced the prize, any claim after the above period will be invalid and Mizkan may not be held liable in this respect.

The Prize may not be claimed by a third party on your behalf.

Under no circumstances may the winner take advantage of the fact that the private message notifying him/her of his/her winnings has not been read within the aforementioned period to claim the award of the Prize.

Mizkan will make all reasonable efforts to contact the Winner. However, if the winner cannot be contacted or is not available or has not claimed his/her prize, Mizkan reserves the right to offer the prize to the next eligible entrant.

  1. PRIZES

The Prize(s) will be announced on the Promotion Post. The Prize is as stated and no alternatives will be offered.

The Prize(s) are not transferable. Prize(s) are subject to availability and Mizkan reserves the right to substitute any Prize with another of equivalent value.

The Winner(s) will be bound by the terms imposed by any third parties providing services as part of the Prize. Mizkan cannot accept responsibility for the acts or omissions of third parties.

Where the Prize is undeliverable online, the Prize will be delivered by courier with one attempt at delivery. If delivery is not possible it will be up to the homeowner to collect the package from the applicable sorting office. Mizkan does not accept responsibility for any lost or delayed packages.

  1. OWNERSHIP OF PROMOTION ENTRIES AND INTELLECTUAL PROPERTY RIGHTS

Mizkan does not claim any rights of ownership in your Promotion entry.

You agree that Mizkan may, but is not required to, make your entry available on its website and any other media (including but not limited to Instagram or Facebook), whether now known or invented in the future, and in connection with any publicity of the Promotion.

You agree to grant Mizkan a non-exclusive, worldwide, irrevocable licence, for the full period of any intellectual property rights in the Promotion entry and any accompanying materials, to use, display, publish, transmit, copy, edit, alter, store, re-format and sub-licence the Promotion entry and any accompanying materials for such purposes.

  1. LIMITS OF LIABILITY

Mizkan may not be held liable for any fact that is not attributable to it, in particular in the event of malfunctioning of telephone lines, malfunctions of the Internet network, failures of the participant’s computer, any other problem linked to networks and means of communication (access providers, viruses, faulty and/or incompatible computer equipment in terms of hardware or software, etc.), or any other problem linked to the participant’s devices. ) or in the event that the information provided by the participant is erroneous, incomplete or becomes unusable for a reason that is not attributable to Mizkan.

Mizkan may also not be held liable in the event that a participant is unable to connect to the social media platform due to any technical defect or any problem related, in particular, to network congestion. It may not be held liable for the maintenance or any malfunctioning of the servers on which the Promotion is hosted.

Insofar as is permitted by law, Mizkan, its agents or distributors will not in any circumstances be responsible or liable to compensate the Winner or accept any liability for any loss, damage, personal injury or death occurring as a result of taking up the Prize except where it is caused by the negligence of Mizkan, its agents or distributors or that of their employees. Your statutory rights are not affected.

  1. PROTECTION OF PERSONAL DATA

Mizkan will collect personal information from the participant for the purposes of administering this Promotion and will share this personal information with its marketing agency and other partners who will be supporting Mizkan with the Promotion including contacting the Winner and publicising the winning message on social media (if applicable) and delivering the Prize (in the event of a win) to the designated postal address.   1. GENERAL

Mizkan reserves the right to hold void, suspend, cancel, or amend the Promotion where it becomes necessary to do so.

This Promotion is in no way sponsored, endorsed or administered by, or associated with Facebook, Instagram or any other social media platform.

If any of these clauses should be determined to be illegal, invalid or otherwise unenforceable then it shall be severed and deleted from these terms and conditions and the remaining clauses shall survive and remain in full force and effect.

  1. GOVERNING LAW AND JURISDICTION

These terms and conditions will be governed by (i) where the participant is a resident in a country outside of England, the laws of that country; or (ii) if the participant is resident in England, English law.

Any disputes will be subject to (i) where the participant is a resident in a country outside of England, the non-exclusive jurisdiction of the courts of that country (ii) in other cases, the non-exclusive jurisdiction of the courts of England.
