Our client, a specialized cloud provider and AI -hyperscaler, has exclusively retained Solutus Legal Search to assist its executives in hiring a sophisticated and seasoned attorney to serve as the company’s Deputy General Counsel, Corporate Governance, Securities and Government Affairs. This extremely well-funded company is in an exciting stage of explosive growth and expansion. Our client is looking for a legal executive that has an entrepreneurial outlook, is a curious and independent thinker, is nimble in a fast-paced and collaborative environment, and isn’t fazed by a little chaos.

The successful candidate may work from anywhere within the United States and must be willing and eager to travel regularly and as needed to company headquarters in New Jersey and offices in New York, San Francisco (opening July 2024), and future offices. The successful candidate also will be expected to accommodate their internal clients’ working hours for meetings or calls, which may largely be on east coast hours.

The DGC role will report directly to the General Counsel and will be a key advisor and partner to the C-Suite. This role will be responsible for all matters relating to corporate governance and securities compliance, including developing policies and internal procedures to lay the foundation for a potential IPO. The DGC will build and manage a legal team that will function in parallel with the company’s Accounting team and external auditors In addition, this role will oversee and manage legal personnel responsible for regulatory compliance, including privacy and data security, export control, FINRA, and responses to US and foreign inquiries. Rounding out this significant role is providing legal support to the government and public affairs teams and the company’s policy and legislative objectives

Principal Responsibilities

  • Build out a team and legal function supporting internal corporate governance, SEC compliance, IPO readiness, regulatory compliance, and government and public affiars
  • Develop and manage policies and procedure relating to securities and financial reporting compliance
  • Monitor governance regulatory trends and SEC developments
  • Support and oversee the preparation of materials for board, committee, and investor meetings
  • Advise and support investor relations and engagement
  • Support external and internal auditors
  • Advise on executive compensation and equity administration
  • Develop procedures and policies to prepare for a potential IPO
  • Monitor and anticipate the direction of federal, state, and local regulations applicable to the AI and cloud computing industries to ensure the compliance of products, services, and business operations
  • Support and improve enterprise-wide compliance procedures and policies, including monitoring compliance and preparing and delivering training
  • Serve as a primary legal advisor to the government affairs team and support the company’s policy initiatives and engagement with federal and state legislatures
  • Manage a team including an AGC, Regulatory & Compliance as well as US and foreign outside regulatory counsel and consultants



Ideal Qualifications

  • 15 + years of relevant law firm and inhouse experience
  • Strong academic credentials and admission to the bar in your state of residence as well as strong practical experience in DE law
  • Excellent verbal and written communications skills
  • Ability to work well and build relationships across various levels of the organization
  • Experience managing legal professionals and building a team
  • Action-oriented and business savvy problem solver with the ability to drive innovative solutions and strategies
  • Ability to thrive in a fast-paced, high growth environment, often with shifting priorities



Compensation for this role is very competitive and includes a target base salary of $275,000 - $340,000, depending on seniority and qualifications, annual bonus target of 30%, and an equity grant.
