Counsel, Commercial Legal

Mission: We are seeking a strategic and experienced legal professional to join our team at Groq as a Senior Counsel, Commercial Legal. In this role, you will provide expert guidance to drive the company's growth and innovation by reviewing, negotiating, and drafting a diverse range of commercial contracts and template agreements. Your efforts will support the company's strategic and business goals while mitigating risk and ensuring compliance with all relevant laws and regulations.

Responsibilities & opportunities in this role:

• Successfully negotiate and draft contracts with key partners and vendors, ensuring that the company's interests are protected and that the agreements align with its business objectives resulting in cost savings, improved service levels, and reduced risk.
• Develop and maintain a comprehensive library of standardized contract templates and clauses that align with Groq's business objectives, ensuring consistency and efficiency in contract drafting and negotiation.
• Develop a comprehensive process and conduct thorough reviews of LLM licenses, identifying and mitigating key risks, while advancing business interests.
• Maintain a streamlined commercial contract review and approval process, ensuring that all contracts are reviewed and approved in a timely and efficient manner.
• Identify and mitigate potential legal risks and ensure compliance with relevant laws and regulations in all commercial contracts and agreements.
• Establish and maintain strong relationships with key stakeholders, including business leaders, vendors, and partners, through effective communication and collaboration, resulting in improved collaboration, increased trust, and enhanced business outcomes.
  
  
  

Ideal candidates have/are:

• A J.D. degree from a top-tier law school and a minimum of 6 years of experience as a commercial attorney, preferably with some experience in-house in a technology company.
• Strong contract negotiation, drafting, and review skills, with experience in negotiating and drafting complex commercial contracts, including data center contracts, procurement agreements, and LLM licenses.
• Excellent analytical, problem-solving, and communication skills, with the ability to analyze complex legal issues and communicate effectively with both technical and non-technical stakeholders.
• Strong business acumen and commercial awareness, with the ability to understand the company's business objectives and industry trends.
• Experience working in a fast-paced, dynamic environment, with the ability to prioritize tasks, manage multiple projects simultaneously, and meet deadlines while maintaining high-quality work and attention to detail.
• Strong technical knowledge of the AI industry and technology, with the ability to stay up-to-date with trends and developments.
• Proven ability to build trust and credibility with stakeholders, including business leaders, vendors, and partners, through effective communication and collaboration.

Compensation: At Groq, a competitive base salary is part of our comprehensive compensation package, which includes equity and benefits. For this role, the base salary range is $132,200 to $211,500, determined by your skills, qualifications, experience and internal benchmarks.

Location: Groq is a geo-agnostic company, meaning you work where you are. Exceptional candidates will thrive in asynchronous partnerships and remote collaboration methods. Some roles may require being located near our primary sites, as indicated in the job description.
