General Counsel

We are seeking a General Counsel, reporting to the CEO, of our highly acquisitive, private equity backed, Veterinary Support Organization (VSO), Western Veterinary Partners. This role will play a pivotal role in providing strategic legal guidance and support across all aspects of our operations. You will be integral to our growth strategy, ensuring legal compliance, managing risk, and driving the success of our acquisitions and business initiatives.

Western Veterinary Partners (WVP) is a private equity backed company that acquires, invests in, and supports veterinary practices and animal hospitals throughout the continental United States. Post-acquisition, WVP supports its partner practices with the non-clinical side of the business by providing industry proven non-clinical business support services.

Job Responsibilities

Acquisitions and Transactions (70-80% of focus):

  • Lead the legal aspects of mergers, acquisitions, joint ventures, and strategic partnerships.
  • Conduct due diligence reviews and risk assessments for potential transactions.
  • Negotiate and draft complex agreements, including purchase agreements, partnership agreements, and employment contracts.

Contract Management (5-10% of focus):

  • Oversee the review, drafting, and negotiation of a wide range of contracts, including vendor agreements, lease agreements, and service contracts.
  • Ensure contracts protect the organization's interests and comply with legal requirements.

Legal Oversight and Compliance (5-10% of focus):

  • Provide expert legal advice and guidance to executive management and board of directors on strategic decisions and initiatives.
  • Ensure compliance with all applicable laws and regulations governing veterinary services, healthcare, acquisitions, and corporate operations.
  • Develop and implement effective corporate governance policies and procedures.

Litigation Management (~5% of focus):

  • Manage litigation and disputes involving the organization, including overseeing outside counsel when necessary.
  • Develop strategies for minimizing legal risks and resolving disputes effectively.

Regulatory Affairs (~5% of focus):

  • Monitor regulatory developments affecting the veterinary industry and advise on compliance requirements.
  • Work closely with regulatory bodies and industry associations to advocate for the organization's interests.

Qualifications

  • Juris Doctor (J.D.) degree from an accredited law school and active membership in good standing with the state bar.
  • Minimum of 10 years of legal experience, with significant experience in corporate law, mergers and acquisitions, and healthcare or veterinary services.
  • Proven track record in managing complex legal transactions and providing strategic legal advice to senior executives.
  • Strong leadership and management skills with experience in leading and developing legal teams.
  • Excellent analytical, negotiation, and communication skills.
  • Ability to thrive in a fast-paced, dynamic environment and manage multiple priorities and deal processes effectively.

Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training.
