The CEO will incorporate a new company and will own the shares. The CEO will be responsible for determining his or her salary and bonuses.

In exchange for its technology, assets, business plans, cash flows and prepared licensing and franchising agreements, Guinness will receive 20% of the shares of the new company, a royalty on future revenues and a monthly advance against royalties. Guinness has invested over $6 million in the research, development, market testing and the creation of advertising trials.

Future revenues and income to cover expenses will depend solely on the new company and the ability of its CEO to raise capital and manage the implementation of its business plan.

The prototype Telli Marin ceased charging for its services when Covid appeared, therefore it has no revenues at this time.

The new company will raise funds and put together a team to build a network of local platforms like the prototype Telli Marin (www.telli.com) and franchise them to marketing people who live in the areas served to operate as their own local mini search sites.

Guinness Telli*Phone will not be involved in management or operation of the new company and not responsible for any compensation for the CEO or the management team of that company however, Lawrence Guinness will be available as a consultant if so desired.

Therefore, the CEO should have recent experience in raising funds to finance corporate operations and have important skills in business management, internet advertising, online marketing and development.
