Bancroft is currently seeking a General Counsel to join our team!


Bancroft’s General Counsel will play a crucial role in providing legal guidance and support to ensure compliance, manage risks, and facilitate the organization's mission-driven initiatives. Reporting directly to the President & CEO, General Counsel is responsible for overseeing all legal matters, from regulatory compliance to contract negotiations, and ensuring that our organization operates within the boundaries of the law.

  • Legal Compliance and Risk Management: Monitor and ensure compliance with all relevant laws, regulations, and internal policies affecting operations. Develop and implement compliance policies and procedures. Oversee the Compliance Department and all their activities including audits to assess compliance status and identify areas of potential risk. Oversee policy development process and manage the team that facilitate that process.
  • Contract Management: Draft, review, and negotiate contracts with vendors, partners, payors, and other stakeholders. Ensure that contractual agreements align with the organization's goals and legal requirements. Advise on contract disputes and resolutions.
  • Governance and Board Relations: Provide guidance to the Board of Directors on governance matters, ethics, and conflicts of interest. Assist in the preparation of Board meeting materials and resolutions. Support Board committees as needed, such as the Audit ,Compliance,and Risk Committee. Serve as Corporate Secretary. Advise both the CEO and the Board of Trustees on corporate governance-related matters and best practices, bylaws, and maintenance of corporate records.
  • Litigation and Dispute Resolution: Manage and oversee litigation matters involving the organization. Collaborate with external legal counsel as necessary. Develop strategies for dispute resolution and risk mitigation.
  • Employee Relations and Employment Law: Collaborate with Human Resources in the development of HR policies and procedures in compliance with federal, state, and local regulations. Serve as a resource to advise on employment law matters.
  • Advocacy and Public Policy: Monitor legislative and regulatory developments that may impact the organization's operations. Provide legal analysis and strategic advice on policy issues. Serves on boards, committees, and work groups (internal and external) as assigned by the President & CEO.
  • Training and Education: Conduct training sessions for staff and Board members on legal and compliance matters. Keep abreast of developments in legislation, regulation, case law and best practices affecting the organization, and disseminate relevant information to stakeholders.
  • Intellectual Property: Manages all intellectual property issues and engages outside legal expertise where necessary to protect all the corporation and all affiliate corporations.
  • Performs other duties as assigned.


Education & Experience:

  • Juris Doctor (J.D.) degree and admission to the New Jersey Bar.
  • 10 years of legal and leadership experience preferably with significant experience in nonprofit law, human services, healthcare or related fields. Strong knowledge of nonprofit governance, tax-exempt regulations and compliance requirements.
