Job Title: Contracts Counsel


Location: Boston, MA


Position Overview: As Contracts Counsel, you will be responsible for drafting, reviewing, revising, and negotiating both general and sophisticated corporate agreements, including NDAs, SaaS/cloud services agreements, market data agreements, leases, engagement letters with auditors and accounting firms, consulting agreements, data protection agreements, fund operations agreements, employment search agreements, and event/hotel agreements. This role is critical in ensuring that our contracts align with our business objectives while minimizing legal risks.


Key Responsibilities:

  • Draft, review, and negotiate a variety of corporate contracts to ensure alignment with business objectives and risk management policies.
  • Counsel internal clients on contract disputes with vendors, collaborating with senior leaders to design effective solutions and settlements.
  • Develop and maintain strong business relationships across the firm, contributing to cross-functional projects and teams.
  • Learn and understand the risk tolerance of each department, creating and maintaining standard contract terms and templates to meet their needs.
  • Manage and complete additional legal projects or matters as needed, including general corporate matters.
  • Provide legal support for the opening of new offices in the U.S. and internationally, including reviewing short-term leases.
  • Contribute to important policy initiatives, operational matters, and vendor relationships.
  • Offer support across the organization by quickly and effectively identifying complex legal and compliance issues, providing advice that integrates legal risk management with business objectives.


Qualifications:

  • Juris Doctor (JD) or equivalent experience.
  • 4+ years of relevant experience post-JD, preferably at a financial services firm.
  • Exceptional research, writing, and counseling skills.
  • Proven experience in reviewing, negotiating, and closing contracts.
  • Ability to independently negotiate contracts and take ownership of issues, providing concise and timely advice.
  • Strong judgment, accountability, and the ability to work effectively on legal projects that may be unrelated to contracts.
  • Ability to develop and maintain strong business relationships and work collaboratively across departments.
