Summary/Objective

The Senior Director of Mergers and Acquisitions will evaluate and execute acquisitions, make strategic decisions, and drive corporate growth and profitability. The Senior Director of Mergers and Acquisitions will work predominantly with the Executive, Business Development and Corporate Development groups to provide recommendations based on research and analysis of the industry.

  • Work collaboratively across the entire organization to compile and manage company growth strategy, which includes analyzing and providing recommendations to Executive Leadership;
  • Support SVP of M&A in execution and development of acquisition and divestiture strategy; lead deal sourcing, diligence, negotiations and integration;
  • Conduct and present research on new growth opportunities, external M&A activity and risks to company;
  • Share expertise and build knowledge with the internal team members and manage external partners and consultants;
  • Prepare detailed reports and presentations describing the key attributes of growth opportunities and target acquisitions;
  • Work collaboratively with finance and product leaders to prepare and analyze financial models for potential acquisitions and growth opportunities;
  • Monitor financial performance of acquired companies and prepare reports against budget;
  • Conduct origination, model development, due diligence oversight/organization (both internal and external counterparties), acquisition proposal document development, as well as support in negotiation, execution and closing of transactions;
  • Lead projects and serve as representative team member for a variety of ad-hoc strategic projects and initiatives;
  • Prepare periodic status reports for CEO, CDO, and Board.

Supervisory Responsibility

This position will have supervisory responsibilities as the business and organization grows.

Work Environment

This position operates in a professional office environment, and in business environments associated with business travel.

Physical Demands

This is an office environment and business travel environment position; it will require no physical work other than that encountered in an office environment.

Primary Work Location

USA-Texas-Houston; may consider USA-Northeast-NYC area.

Travel

Moderate business travel is expected for this position.

Qualifications

Required Education and Experience

  • Master’s degree in Business, Accounting, Finance, Economics or any other related field or an equivalent of this requirement in working experience;
  • Minimum of 7 years of working experience in an M&A position;
  • Experienced at running complex merger and acquisition integrations and possess vast knowledge in equity buyouts;
  • Working experience in project management methodology, including schedule, scope, change management, risk management, planning and analysis;
  • Strong project and process management experience, both internal and external;
  • Understanding of the US power markets and policy.
